1. Agreement to Terms
By accessing or using the website at copyscripto.com (the "Site") or engaging Copyscripto Ltd. ("Copyscripto", "we", "our", or "us") for any services, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please discontinue use of the Site immediately.
2. Use of the Website
You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- Use the Site in any way that violates applicable local, national, or international law.
- Transmit unsolicited commercial communications (spam).
- Attempt to gain unauthorised access to any part of the Site or its infrastructure.
- Reproduce, duplicate, or redistribute any part of the Site's content without written permission.
3. Services
Copyscripto provides SEO strategy, content writing, technical SEO, conversion copywriting, and related services (collectively, the "Services"). The specific scope, deliverables, timelines, and fees for any engagement are agreed upon in a separate written proposal or Statement of Work ("SOW"), which forms part of the agreement between Copyscripto and the client.
We reserve the right to decline any project request at our discretion.
4. Intellectual Property
All content on this Site — including text, graphics, logos, and design — is owned by or licensed to Copyscripto and is protected by applicable intellectual property laws.
Upon full payment for a completed project, intellectual property rights to the deliverables (e.g. written content) transfer to the client as specified in the SOW. Rights to proprietary tools, methodologies, templates, and internal processes remain exclusively with Copyscripto.
5. Client Obligations
To enable effective delivery of Services, the client agrees to:
- Provide accurate, timely, and complete information required for the project.
- Make payment in accordance with agreed invoicing terms.
- Designate a point of contact with appropriate authority to give approvals and feedback.
- Ensure any content or materials provided to Copyscripto do not infringe third-party rights.
6. Payment Terms
Unless otherwise specified in a SOW, invoices are due within 14 days of issue. Late payments may incur interest at 1.5% per month on the outstanding balance. Copyscripto reserves the right to suspend work on any project where payment is overdue by more than 7 days.
All fees are exclusive of applicable taxes (including VAT or GST) unless stated otherwise.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of an engagement, including business strategies, client data, pricing, and project details. This obligation survives termination of the engagement for a period of two (2) years.
8. Disclaimers and Limitation of Liability
The Site and its content are provided "as is" without warranties of any kind, express or implied. Copyscripto does not guarantee any specific results from SEO or content services, as outcomes depend on factors beyond our control including search engine algorithm changes and market conditions.
To the maximum extent permitted by law, Copyscripto shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Site or our Services. Our total liability in connection with any claim shall not exceed the fees paid by the client in the preceding three (3) months.
9. Termination
Either party may terminate an engagement by providing written notice as specified in the applicable SOW (typically 30 days). Copyscripto reserves the right to terminate immediately if the client breaches these Terms, fails to pay invoices, or engages in conduct that damages Copyscripto's reputation.
Upon termination, the client is liable for all fees accrued up to the termination date. Deliverables completed and paid for remain the client's property.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Copyscripto Ltd. is incorporated. Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
11. Changes to These Terms
We may revise these Terms at any time. The "Last updated" date at the top of this page will reflect any changes. Continued use of the Site following an update constitutes your acceptance of the revised Terms.
